("Skylight") and are provided to you ("Member") under the terms and conditions of this Terms of Service. Hereafter, mywebpost.com, mywebpost and Skylight Interactive, Inc. will be referred to as MyWebpost.

This page contains the terms and conditions ("Terms and Conditions") for MyWebpost. By downloading MyWebpost, you agree to this agreement either for yourself or on behalf of your employer or another entity and agree to be bound by its terms and conditions. If you are accepting on behalf of your employer or another entity, you represent and warrant that you have full legal authority to bind your employer or such entity to these terms and conditions. Personal or Internal Business Use Only
MyWebpost is made available to you for your personal or internal business use in compliance with all applicable laws, rules and regulations. If you want to make commercial use of MyWebpost, including but not limited to selling or distributing MyWebpost for payment, you must enter into an agreement with MyWebpost a product of Skylight Interactive, Inc. or obtain Skylight Interactive, Inc's written permission in advance. If you are asked to register you must provide complete and accurate identification, contact, and other information required as part of the registration process. MyWebpost reserves the right to refuse or discontinue participation to any applicant at any time in its sole discretion.

Prohibited Actions
Except for distributions for internal business and/or personal use to your employees or contractors in compliance with these Terms and Conditions, you may not distribute MyWebpost for payment or any services or software associated with or derived from it, or modify, copy, license, or create derivative works from MyWebpost, unless you obtain Skylight Interactive Inc.'s written permission in advance.

Your Conduct
You are solely responsible for the contents of content transmissions through the Service. Your use of MyWebpost is subject to all applicable local, state, national and international laws and regulations.

You agree:
(1) to comply with US law regarding the transmission of technical data exported from the United States through the Service;
(2) not to use the Service for illegal purposes;
(3) not to interfere or disrupt networks connected to the Service; and
(4) to comply with all regulations, policies and procedures of networks connected to the Service.

You agree not to transmit through the MyWebpost any unlawful, harassing, libelous, abusive, threatening, or harmful material of any kind or nature. You further agrees not to transmit any material that encourages conduct that could constitute a criminal offense, give rise to civil liability or otherwise violate any applicable local, state, national or international law or regulation. Attempts to gain unauthorized access to other computer systems are prohibited.

Content
You acknowledge and agree that MyWebpost neither endorses the contents of any communications nor assumes responsibility for any threatening, libelous, obscene, harassing or offensive material contained therein, any infringement of third party intellectual property rights arising therefrom or any crime facilitated thereby.

Further, you recognize that Mywebpost, including but not limited to the pop-up comment boxes that appear on top of websites, have its own characteristic look-and-feel, and are a distinct brand and trademark. You are aware that the content viewed with MyWebpost is distinct from the content of the website that content is placed upon. You are aware that the content viewed with MyWebpost is NOT being created by websites that content is placed upon.

You acknowledge that you do not find the pop-up overlay boxes and hover juxtaposition of MyWebpost to be confusing or capable of misleading you into viewing the content on MyWebpost as being served by the owner of the underlying web page.

You acknowledge that access to the underlying Web page to be unhindered and uncompromised in its ability to deliver it’s own content.

Distribution
Once you have obtained Skylight Interactive Inc,'s permission, you may make copies of MyWebpost and distribute such copies to others provided that any such recipient has had an opportunity to review and agree to be bound by these Terms and Conditions. Permission is granted by using our plug-in buttons that can be placed on websites. If others to whom you'd like to distribute MyWebpost do not have this opportunity to review and agree to these Terms and Conditions but you would still like to distribute copies to them, you may do so provided that you have the legal right to bind each of those third parties to these Terms and Conditions. If you do not have this right and the recipients do not have an opportunity to review and agree to these Terms and Conditions, you may not distribute MyWebpst to them. Automatic Updates
MyWebpost may communicate with MyWebpost's servers to check for available updates to the software, such as bug fixes, patches, enhanced functions, missing plug-ins and new versions (collectively, "Updates"). During this process, MyWebpost sends MyWebpost a request for the latest version information. By installing MyWebpost, you hereby agree to automatically request and receive Updates from MyWebpost's servers.

Information Practices
Protecting users’ privacy is very important to MyWebpost. As a condition of downloading and using MyWebpost, you agree to the terms of the MyWebpost Privacy Policy, which may be updated from time to time, as expressed in the most recent version that exists at the time of your use. Information collected by MyWebpost may be stored and processed in the United States or any other country in which Skylight Interactive Inc. or its agents maintain facilities. By using MyWebpost you consent to any such transfer of information outside of your country.

Intellectual Property
You acknowledge that MyWebpost or third parties own all right, title and interest in and to MyWebpost, portions thereof, or software or content provided through or in conjunction with MyWebpost, including without limitation all Intellectual Property Rights. "Intellectual Property Rights" means any and all rights existing from time to time under patent law, copyright law, trade secret law, trademark law, unfair competition law, and any and all other proprietary rights, and any and all applications, renewals, extensions and restorations thereof, now or hereafter in force and effect worldwide. You agree not to (and agree not to allow third parties to) modify, adapt, translate, prepare derivative works from, decompile, reverse engineer, disassemble or otherwise attempt to derive source code from MyWebpost, or to extract significant portions of MyWebpost's files for use in other applications. You also agree to (and agree not to allow third parties to) not remove, obscure, or alter MyWebpost's or any third party's copyright notice, trademarks, or other proprietary rights notices affixed to or contained within or accessed in conjunction with or through MyWebpost.

Changes to Terms and Conditions
MyWebpost reserves the right to modify these Terms and Conditions from time to time in its sole discretion, without notice or liability to you. You agree to be bound by these Terms and Conditions, as modified.

Disclaimer of Warranties
MyWebpost and any third party who makes its software or content available in conjunction with or through MyWebpost disclaim any responsibility for any harm resulting from your use (or use by your employees, agents or contractors) of MyWebpost and/or any third party software or content accessed in conjunction with or through MyWebpost.
MYWEBPOST AND ANY THIRD PARTY SOFTWARE AND CONTENT MADE AVAILABLE IN CONJUNCTION WITH OR THROUGH MYWEBPOST ARE PROVIDED "AS IS," WITH NO WARRANTIES WHATSOEVER. MYWEBPOST AND SUCH THIRD PARTIES EXPRESSLY DISCLAIM TO THE FULLEST EXTENT PERMITTED BY LAW ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING, WITHOUT LIMITATION, THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT OF PROPRIETARY RIGHTS. MYWEBPOST AND ANY THIRD PARTY WHO MAKES ITS SOFTWARE OR CONTENT AVAILABLE IN CONJUNCTION WITH OR THROUGH MYWEBPOST DISCLAIM ANY WARRANTIES REGARDING THE SECURITY, RELIABILITY, TIMELINESS, AND PERFORMANCE OF MYWEBPOST AND SUCH THIRD PARTY SOFTWARE OR CONTENT. SUCH LIMITATION OF LIABILITY SHALL APPLY TO PREVENT RECOVERY OF DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, AND PUNITIVE DAMAGES WHETHER SUCH CLAIM IS BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, (EVEN IF MYWEBPOST AND/OR A THIRD PARTY SOFTWARE OR CONTENT PROVIDER HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES). SUCH LIMITATION SHALL APPLY NOTWITHSTANDING A FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY AND TO THE FULLEST EXTENT PERMITTED BY LAW.
